Referral Programme – Terms and Conditions 


1. Definitions 

In these Terms and Conditions: 

  • "Company" means Matoha Instrumentation Ltd. 

  • "Referrer" means an existing customer of the Company who participates in the Referral Programme. 

  • "Referred Customer" means a new business customer introduced to the Company by a Referrer. 

  • "Device" means the Company's NIR hardware products. 

  • "Subscription" means any software, service, or support subscription offered by the Company. 

  • "Referral Programme" means the customer referral rewards scheme described in these Terms. 


2. Eligibility 

  1. 2.1 The Referrer must be an existing customer of the Company and must own or lease at least one Device at the time of making a referral. 

  2. 2.2 Employees, agents, distributors, or partners of the Company are not eligible to participate unless expressly agreed in writing by the Company. 


3. Qualifying Referrals 

  1. 3.1 A Referred Customer must be a new business customer that has not previously purchased any Device or Subscription from the Company. 

  2. 3.2 Businesses that are part of the same corporate group (including parent companies, subsidiaries, or sister companies) are treated as one customer for the purposes of the Referral Programme. Referrals within the same corporate group do not qualify. 

  3. 3.3 A referral will only qualify once the Referred Customer has: 

  • (a) entered into a binding contract with the Company; 

  • (b) made payment or entered into a payment arrangement with the Company; and 

  • (c) not cancelled the order within any applicable cancellation, money-back, or cooling-off period 

  1. 3.4 Rewards will be granted within 30 days of the conditions in clause 3.3 being satisfied. 


 4.Referral Rewards 

Subject to these Terms, the Referrer may qualify for the following rewards: 

  1. 4.1 One (1) New Customer Referred 

  • 10% discount on one Device purchase; and 

  • 25% discount on one Subscription purchase. 

  1. 4.2 Three (3) New Customers Referred 

  • 10% discount on any hardware fees; and 

  • 25% discount on any Subscription fees, applicable to the entire order. 

  1. 4.3 Five (5) New Customers Referred 

  • One free Handheld or Desktop Device (up to the value of £4,000); and 

  • Two (2) years of Basic Subscription at no charge. 


5. Reward Conditions 

  1. 5.1 Referral rewards are granted per new customer referred, not per order value or per number of orders placed by the Referred Customer. 

  2. 5.2 Referral rewards cannot be combined with each other or with any other promotion, discount, or offer unless expressly stated in writing by the Company. 

  3. 5.3 Discounts and benefits under clause 4 apply only to the initial purchase or contract term under which they are granted. Discounts do not automatically renew or carry forward to subsequent contract periods, upgrades, or replacement orders unless expressly agreed by the Company in writing. 

  4. 5.4 The General terms of sale and warranty terms (https://matoha.com/terms) apply to order supplied under clause 4. 

  5. 5.5 Referral rewards have no cash value and are non-transferable.


6. Administration and Verification 

  1. 6.1 The Company reserves the right to verify the eligibility of any referral and to refuse or withdraw referral rewards where these Terms have not been met. 

  2.  

7. Fraud and Abuse 

  1. 7.1 The Company reserves the right to withhold, withdraw, or reclaim rewards (including seeking repayment or reversal of discounts already granted) where it reasonably believes that: 

  • (a) a referral was fraudulent or made in breach of these Terms; 

  • (b) the Referrer has engaged in conduct intended to manipulate or abuse the Referral Programme; or 

  • (c) the Referred Customer was not a genuine new customer. 

  1. 7.2 The Company may suspend or terminate a Referrer's participation in the Referral Programme at any time if clause 7.1 applies. 


8. Data Protection 

  1. 8.1 The Company will process personal data relating to referrals (including names and contact details of Referred Customers) in accordance with UK GDPR, the Data Protection Act 2018, and the Company's Privacy Policy. 

  2. 8.2 By participating in the Referral Programme, the Referrer confirms that they have obtained all necessary consents from the Referred Customer to share their contact details with the Company for the purposes of this Programme. 

  3. 8.3 The Company's Privacy Policy is available at https://www.matoha.com/privacy-policy and explains how personal data is used, stored, and protected. 


9. Taxation 

  1. 9.1 Referrers are solely responsible for any tax liabilities that may arise from rewards received under this Programme, including but not limited to income tax or other applicable taxes on benefits in kind. 

  2. 9.2 The Company recommends that Referrers seek independent tax advice if they are unsure of their obligations. 


10. Changes and Termination 

  1. 10.1 The Company reserves the right to amend, suspend, or terminate the Referral Programme at any time, with or without notice. 

  2. 10.2 Where reasonably practicable, the Company will provide notice of material changes or termination via email or through its website. 

  3. 10.3 Any referrals made prior to termination or amendment will be honored in accordance with these Terms as they stood at the time of referral, provided all eligibility criteria have been satisfied. 

  4. 10.4 Amendments to these Terms will not affect rewards already granted or referrals already qualifying under clause 3.3. 


11. Limitation of Liability 

  1. 11.1 To the fullest extent permitted by law, the Company's total liability arising out of or in connection with the Referral Programme shall not exceed the value of the reward(s) applicable to the relevant referral. 

  2. 11.2 Nothing in these Terms excludes or limits the Company's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law. 


12. General 

  1. 12.1 These Terms constitute the entire agreement between the Referrer and the Company in relation to the Referral Programme and supersede any prior agreements or representations. 

  2. 12.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 

  3. 12.3 The Company's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. 

  4. 12.4 No third party shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms. 


13. Governing Law and Jurisdiction 

  1. 13.1 These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of England and Wales. 

  2. 13.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter.
